These Terms of Service ("Terms") govern your use of the SMPHR Connections mobile application and website (the "Service") operated by PurposeMentor ("PurposeMentor," "we," "us," or "our"). SMPHR Connections is built and operated by PurposeMentor and is currently made available to members of SMPHR, Inc. ("SMPHR") as part of a pilot program.
You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age, have the legal capacity to enter into these Terms, and that all information you provide is accurate and truthful.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
We reserve the right to investigate and take appropriate action against any violation of this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.
You retain ownership of content you create and post through the Service ("User Content"). By posting User Content, you grant PurposeMentor a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify (for formatting purposes only), and distribute your User Content solely in connection with operating, promoting, and improving the Service. This license terminates when you delete your User Content or your account, except to the extent that copies persist in backup systems (which will be deleted in accordance with our data retention schedule).
You are solely responsible for your User Content. You represent and warrant that you have all rights necessary to post your User Content and that it does not infringe or violate the rights of any third party. PurposeMentor does not endorse any User Content and assumes no liability for content posted by users.
We reserve the right, but are not obligated, to review, monitor, or remove any User Content that violates these Terms, that we determine in our reasonable judgment is harmful, offensive, or otherwise objectionable, or that may expose PurposeMentor or its users to liability. We will make reasonable efforts to notify you when content is removed, along with the reason for removal.
The Service facilitates connections between mentors and mentees but neither PurposeMentor nor SMPHR guarantees the quality, outcome, suitability, or availability of any mentorship relationship. Mentorship interactions are between individual users, and neither PurposeMentor nor SMPHR is a party to those relationships. Users participate in mentorship at their own discretion and risk. PurposeMentor does not screen mentors for professional credentials, licensure, or background and makes no representations about their qualifications.
The AI Coach feature provides general career guidance and informational support. It is not a substitute for professional advice from a licensed career counselor, attorney, therapist, financial advisor, or other qualified professional.
The Service, including its design, features, source code, algorithms, graphics, logos, and branding, is owned exclusively by PurposeMentor and protected by copyright, trademark, trade dress, and other intellectual property laws of the United States and other jurisdictions. The "SMPHR Connections" product name is used under arrangement with SMPHR for the duration of the pilot program; all underlying technology and intellectual property remain the sole property of PurposeMentor. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service without our prior written consent.
We respect the intellectual property rights of others. If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement on the Service, please send a notice to our designated copyright agent at [email protected] containing:
We may remove or disable access to material that is claimed to be infringing and may terminate the accounts of repeat infringers.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
The Service is currently offered free of charge to SMPHR members as part of the pilot program. We reserve the right to introduce paid features, subscription plans, or premium tiers in the future. If we do, we will provide at least thirty (30) days' advance notice, and you will have the option to accept or decline the paid features. No fees will be charged to you without your affirmative consent.
The Service may integrate with, link to, or rely on third-party services (including but not limited to authentication providers, AI model providers, and calendar services). We do not control these third-party services and are not responsible for their content, privacy practices, or availability. Your use of third-party services is subject to their own terms and policies. We encourage you to review them.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PURPOSEMENTOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
PURPOSEMENTOR DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY ADVICE, CONTENT, OR RECOMMENDATIONS PROVIDED BY THE AI COACH, OTHER USERS, OR ANY THIRD PARTY THROUGH THE SERVICE.
THE SERVICE IS PROVIDED AS PART OF A PILOT PROGRAM AT NO COST. PURPOSEMENTOR MAKES NO GUARANTEES REGARDING SERVICE AVAILABILITY, UPTIME, OR CONTINUITY OF THE PILOT PROGRAM. THE PILOT MAY BE MODIFIED, SUSPENDED, OR DISCONTINUED AT ANY TIME WITH NOTICE AS DESCRIBED IN THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PURPOSEMENTOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF PURPOSEMENTOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL PURPOSEMENTOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE EXCEED ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless PurposeMentor, its owner, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
Before initiating any formal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
If the dispute cannot be resolved informally, any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules. Arbitration shall be conducted in the State of Missouri. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND PURPOSEMENTOR AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Small claims court actions are also exempt from the arbitration requirement.
These Terms are governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of laws principles. To the extent that any action is permitted to be brought in court (as provided in Section 15.4), you consent to the exclusive jurisdiction of the state and federal courts located in Missouri.
By creating an account, you consent to receive electronic communications from us (including emails, push notifications, and in-app messages) related to your account and the Service. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
PurposeMentor shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from causes beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authority, fire, floods, power outages, Internet or telecommunications failures, cyberattacks, or actions of third-party service providers.
SMPHR is a pilot client organization. For the avoidance of doubt:
We may update these Terms from time to time. When we make material changes, we will notify you at least fourteen (14) days before the changes take effect by posting the updated Terms in the app, on our website, or by sending you a notification. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and PurposeMentor regarding the Service and supersede all prior or contemporaneous communications, agreements, and understandings, whether oral or written.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
The failure of PurposeMentor to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PurposeMentor.
You may not assign or transfer these Terms or your rights under them without our prior written consent. PurposeMentor may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law, with notice to you.
These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms, including SMPHR.
